Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zyncli’s website, applications, visual Skills, generation tools, and related services. By using Zyncli, you agree to these Terms and our Privacy Policy.
1. Eligibility and accounts
You must be at least 16 years old and legally able to enter into these Terms. If you use Zyncli for a company or other organization, you confirm that you have authority to bind it. You are responsible for accurate account information, activity under your account, and keeping your login credentials secure.
2. What Zyncli provides
Zyncli analyzes writing, proposes editable visual briefs, applies a reusable visual Skill, and generates illustrations through third-party AI providers. Features, providers, models, limits, and output formats may change as we improve the service. AI output is probabilistic: it may be inaccurate, inconsistent, incomplete, or unsuitable for a particular purpose.
3. Your materials
You retain ownership of articles, prompts, logos, brand guides, images, PDFs, and other material you upload (“Your Materials”). You grant Zyncli a limited, worldwide license to host, reproduce, transform, transmit, and process Your Materials only as needed to provide, secure, and support the service.
You confirm that you have all rights and permissions needed to upload and use Your Materials, including any personal data, trademarks, copyrighted works, likenesses, or confidential information they contain.
4. Generated output
As between you and Zyncli, and to the extent permitted by applicable law, you may use the illustrations generated for you (“Output”) for personal or commercial purposes. Zyncli does not claim ownership of your Output.
You are responsible for reviewing Output before publication. We do not guarantee that Output is unique, eligible for intellectual-property protection, accurate, or free from resemblance to third-party content. Similar output may be generated for other users. You must not use Output in a way that violates law or another person’s rights.
5. Private and official Skills
Official Skills and the Zyncli software, interface, documentation, prompt architecture, and public template specifications remain owned by Zyncli or its licensors. You may use official Skills to generate Output, but you may not copy, extract, sell, reverse engineer, or redistribute the underlying Skill specifications or service.
Private Skills built from Your Materials are private by default. You retain rights in the source material and brand elements they contain. Zyncli retains rights in the general-purpose software and methods used to analyze, compile, and run Skills.
6. Acceptable use
You may not use Zyncli to:
- violate law, privacy, publicity, copyright, trademark, or other rights;
- create or distribute unlawful, abusive, deceptive, exploitative, or malicious content;
- impersonate others, misrepresent origin, or create deceptive synthetic media;
- upload malware, probe security, bypass limits, scrape the service, or interfere with other users;
- resell access, automate abusive volume, or obtain model or service functionality through unauthorized means; or
- use the service for decisions where an error could reasonably cause death, serious injury, or significant legal or financial harm without qualified human review.
We may block content, limit generation, suspend an account, or preserve and disclose records when reasonably necessary to enforce these rules or comply with law.
7. Plans, credits, and payments
Free accounts receive a one-time starter credit grant. Paid plans renew monthly until canceled and include a monthly credit allowance that resets at renewal. Unused monthly plan credits do not roll over. Credit top-ups require an active paid plan, are used after monthly credits, and do not expire while the account remains active.
Costs are shown before a chargeable operation. Credits may vary by article length, model quality, image operation, and source-material volume. Failed operations return reserved credits automatically when our system records the failure. 8. Feedback
If you provide product ideas or feedback, you allow us to use them without restriction or compensation. This does not give us rights to Your Materials, private Skills, or confidential brand content.
9. Availability and changes
We work to keep Zyncli available, but the service may be interrupted, delayed, rate-limited, or changed. We may add or remove providers, models, features, templates, or limits. We will give reasonable notice when a material change to a paid plan adversely affects its core features, unless immediate action is required for security, legal, or provider reasons.
10. Suspension and termination
You may stop using Zyncli at any time. We may suspend or terminate access for material breach, abuse, nonpayment, security risk, legal requirement, or conduct that threatens the service or other users. Where reasonable, we will give notice and an opportunity to cure. Sections that by their nature should survive termination will survive.
11. Disclaimers
To the maximum extent permitted by law, Zyncli is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Zyncli will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity. Our total liability arising from the service will not exceed the greater of US$100 or the amount you paid for Zyncli during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless RuiBin Yang, Zyncli, and our service providers from third-party claims, damages, and reasonable costs arising from Your Materials, your use of the service, or your material breach of these Terms.
14. Disputes and applicable law
Before filing a formal claim, you agree to contact support@zyncli.com and give us 30 days to try to resolve the issue informally. These Terms are governed by the laws of the Hong Kong Special Administrative Region of China. Any dispute that is not resolved informally will be resolved by binding arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre (HKIAC), on an individual basis. Mandatory consumer protections and any rights that cannot be waived remain unaffected.
15. Changes to these Terms
We may update these Terms to reflect product, provider, legal, or security changes. We will post the revised Terms and update the date above. If a change materially reduces your rights, we will provide reasonable notice before it takes effect when practicable.
